Us: Posnic Innovations, Tamil Nadu, India ("Posnic", "we", "us").
You: the business that subscribes to Posnic Cloud ("you", "the customer"). If you accept these terms on behalf of a company, you confirm you are allowed to bind it.
These terms cover Posnic Cloud: the paid service that syncs your tills, stores off-site backups, and provides the web dashboard.
They do not cover the Posnic desktop application. That is free software under the GNU Affero General Public License v3.0, and your rights to it come from that licence alone — not from this document, and not from any subscription. Nothing here restricts what the AGPL grants you.
The till keeps working without us. If your subscription ends, lapses, or we cease trading, the desktop application continues to run on your own computer with your own data. There is no licence check, no expiry, and no server that has to be reachable for you to make a sale. This is a design property, and we state it here so it is also a contractual one.
- Give accurate registration details and keep them current.
- You are responsible for what happens under your account, including actions by your staff.
- Keep your credentials secure. Tell us at info@posnic.com promptly if you believe they have been compromised.
- You must be able to enter a contract under Indian law.

Fees and the billing period are as shown when you subscribe. Prices are exclusive of GST, which is added at the rate applying on the invoice date.

Subscriptions renew automatically for the same period unless cancelled before the renewal date. Renewals are charged at the then-current rate; an introductory discount applies to the first term only.

Payments are processed by Razorpay. We do not see or store your card number.

Cancel any time, by writing to info@posnic.com. Cancellation stops the next renewal; the service runs to the end of the period you have paid for, so cancelling on the 25th when you are billed on the 10th keeps you running until the 10th of the following month.

Refunds. Subscription fees are non-refundable, with two exceptions:
- A first subscription, cancelled within 14 days of the first payment — refunded in full.
- A renewal, cancelled within 2 days of the renewal date — the renewal fee refunded in full.
Outside those windows we do not refund part-periods, except where we have failed to provide the service for a sustained period or the law requires it. Approved refunds reach your account within 5 to 7 working days.

Non-payment. If a payment fails we will tell you and try again. If it is still unpaid after 7 days we may suspend the service; after 30 days we may terminate under Clause 10. Suspension does not touch your data, and your local till keeps working throughout.

We may change prices with 30 days' notice before a renewal. If you do not accept the new price, cancel before it takes effect.
We will provide Posnic Cloud with reasonable skill and care, and we will keep this document and SUPPORT_LIFECYCLE.md accurate about what that means.
Support is answered around the clock for urgent problems. If your shop cannot trade, call or message +91 94941 11161 at any hour and you will reach a person. Everything else is answered during business hours, Monday to Saturday, 10:00–19:00 IST. Automated monitoring runs during business hours.
There is no service level agreement. We answer, but we do not commit to a percentage of uptime, a guaranteed response time, or a repair time. We are a small team and we would rather say so than publish a number we cannot stand behind. What we do commit to is in SUPPORT_LIFECYCLE.md.
We may modify or discontinue features. If we discontinue Posnic Cloud entirely, we will give at least 90 days' notice and provide a full export of your data in a documented format before it stops.
You own your data. Subscribing does not transfer ownership of anything.
- We use it to run the service you are paying for, and for nothing else.
- We do not sell it, mine it, rent it, or train models on it.
- We disclose it only to the subprocessors listed in SUBPROCESSORS.md, or where a law compels us — and where we are permitted to tell you about such a demand, we will.
- Handling is described in PRIVACY.md and, where you are a data processor for your own customers, in DATA_PROCESSING_ADDENDUM.md.
Export and deletion. You can export at any time. On request at info@posnic.com we delete your cloud data within 30 days, other than what we must keep for tax or legal reasons. Your local copy is yours and is not affected.
Backups are not a substitute for yours. We back up the service. That is for our recovery, not a guarantee of yours. Keep your own local backups — see BACKUP_POLICY.md.
Do not use Posnic Cloud to break the law; store data you have no right to store; attempt to gain unauthorised access to our systems or another customer's data; interfere with the service or place a deliberately unreasonable load on it; or resell it as your own service without a written agreement with us.
Security testing against our systems needs written permission first. Report what you find under SECURITY.md — we will not pursue anyone who reports a genuine issue responsibly.
We may suspend an account that is causing harm to the service or to other customers. Except where the harm is immediate, we will tell you first and give you a chance to put it right.
Posnic Cloud is provided "as is". Beyond what Indian law requires and Clause 5 states, we make no warranties — express or implied — including that the service will be uninterrupted, error-free, or fit for a particular purpose.
You remain responsible for your own tax and regulatory compliance. Posnic produces GST invoices and reports, and we work to make them correct, but we are not your accountant and the filings are yours.
Nothing here excludes liability that cannot lawfully be excluded — including for death or personal injury caused by negligence, or for fraud.
Subject to that:
- Neither party is liable for indirect or consequential loss, loss of profit, loss of business, or loss of goodwill.
- Our total liability, for all claims in any twelve-month period, is limited to the fees you paid us for Posnic Cloud in the twelve months before the claim arose.
This limit reflects the price of the service. It does not limit your rights in respect of the desktop application, which is free software supplied under the AGPL with its own warranty disclaimer.
These terms run while you have an active subscription.
- You may cancel at any time (Clause 4).
- We may terminate for a material breach you have not fixed within 30 days of being told, or immediately for the conduct in Clause 7.
- On termination your data stays available for export for 30 days, then is deleted per Clause 6.
Clauses 4 (for fees already due), 6, 8, 9, 12 and 13 survive termination.
We will give 30 days' notice of material changes, by email and in the dashboard. Continuing to use the service after they take effect means you accept them. If you do not, cancel before that date and we will refund the unused part of your current period.
Every version of this document is in the public repository, so you can read exactly what changed and when.
These terms are governed by the laws of India. The courts of Tamil Nadu have exclusive jurisdiction, except that either party may seek urgent injunctive relief anywhere.
If you are a consumer rather than a business, nothing in this clause takes away rights you have under Indian consumer law, including the right to bring a complaint where you live. Posnic Cloud is sold to businesses, so this will rarely apply — but a clause that tried to remove those rights would not be enforceable anyway, and it is better to say so than to let a customer believe otherwise.
Talk to us first. Write to info@posnic.com and we will make a genuine attempt to resolve it before anyone involves a court.
We own Posnic Cloud, the Posnic name and the logo. Subscribing gives you the right to use the service, not ownership of it.
The desktop application is different. It is licensed to everyone under the AGPL-3.0-only, and those rights come from that licence, not from this agreement. Nothing here narrows them.
You own your data and anything you put into the service. You grant us only what we need to run it for you — to store, transmit, back up and display your data to you and to whoever you authorise. That permission ends when your data is deleted.
We will not use your name or logo as a reference without asking you first.
- To you: by email to your account address, or in the dashboard. Treated as received the next working day.
- To us: info@posnic.com, or by post to Posnic Innovations, Tamil Nadu, India. Urgent support is the phone number in SUPPORT_LIFECYCLE.md, not a notice address.
Keep your account email current. A notice sent to an address you no longer read still counts as given.
- Entire agreement. These terms, with the documents they reference, are the whole agreement about Posnic Cloud, and replace any earlier discussion.
- Severability. If a clause is unenforceable, the rest stands.
- No waiver. Not enforcing something once does not waive it.
- Assignment. You may not assign without our written consent. We may assign on a sale of the business, on notice to you.
- Force majeure. Neither party is liable for a failure caused by something genuinely outside its control, provided it says so promptly and works to resolve it.
